Requirement For A Name That Is Not Identical
Corporation names can be duplicated only if the name is not a number name and only in the case of an amalgamation, or where the corporations comply with S.6 or S.6 of Regulation 62. All other instances prohibit the use of a name for a corporation that is identical to the name or former name of another corporation, whether the corporation is active or not of Regulation 62).
In order to acquire a name that is not identical, the name may be varied by the addition or deletion of words, numerals, or initials, or by substituting one of the other required legal elements or their corresponding abbreviations.
The addition or deletion of punctuation marks or other symbols is not sufficient to make the name different for the purposes of the Act
Note: that under the Business Corporations Act, incorporators are responsible for ensuring that Articles conform to law. Under the policy of Endorsement as of Right, the Branch does not review proposed corporation names for similarity to any other name. It is the applicants responsibility to ensure the corporation name is not confusingly similar to that of another corporation, business name or trademark. A corporation that acquires a name similar to that of another corporation may be subject to a names hearing under Section 12 of the Business Corporations Act or a lawsuit.
Who Must Register Under The Business Names Act
Business Names Act administered by the Central Production and Verification Services Branch applies to:
- sole proprietorships carrying on business under a name other than the individuals full name
- partnerships carrying on business under a firm name other than the full names of the partners
- corporations carrying on business under a name other than their corporate name
- an existing general partnership or limited partnership registering a business name different from the registered firm name
- limited liability partnerships
- extra-provincial limited liability partnerships and
- extra-provincial limited liability companies
Business Identification Number And Business Number
The Central Production and Verification Services Branch assigns a Business Identification Number when a business name is registered in Ontario.
The provincial BIN is different than the federal Business Number . The BN is assigned by the Canada Revenue Agency for federal programs, such as:
- goods and services tax/harmonized sales tax
- import-export accounts

Name Your Business Properly
The name that you register the LLC does not need to be the name you put on your letterhead, signage, and marketing materials. Your name should be creative, informative, and broad enough to appeal to the consumers you want to attract. There are three considerations when choosing the business’s name.
One of the reasons you decided to register your business as an LLC was to limit your personal liability. When you are considering which name to use, remember that you should always use some variation of Limited Liability Company,LLC, or Ltd. For example, if your company is called Computer Solutions, be sure to call it Computer Solutions, LLC.
A company is doing business as when it operates a name that is different from its legally registered LLC name. If you are an LLC, you cannot use the name Corp, Co., or Corporation as part of your name since you are not registered as a corporation. In some states, the law requires you to register under a fictitious name. Research your state to find out the requirements for doing business under another name than the one you filed as the LLC.
You do not need to trademark the business name, but you should be certain that the name does not infringe on anyones trademark. If another company decides your name infringes on their trademark, they could get an injunction from a court to prevent you from using it.
